Limitation of Liability

IN NO EVENT SHALL INSIGHT VOICE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless Insight Voice, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Grand Rapids, Michigan, for the resolution of any disputes arising out of or relating to these Terms or the Services.

Severability

If any provision of these Terms is deemed to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

No Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure by Insight Voice to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Insight Voice with respect to the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Services.
